Marvell agrees $115 billion Lumentum takeover for AI connectivity
Marvell says its all-stock Lumentum deal will combine electrical and optical technologies, but the proposed transaction still needs shareholder and regulatory approval.
Our opinion
Marvell says it has agreed an all-stock deal to acquire Lumentum in a transaction that values Lumentum at an implied enterprise value of $115 billion. Under the terms announced, Lumentum shareholders would receive 4.500 Marvell shares for each Lumentum share, subject to shareholder and regulatory approval.
Marvell shareholders would own about 67% of the combined business after completion, with Lumentum shareholders holding about 33%. The companies expect the deal to close in the first half of 2028, but that timetable depends on the remaining conditions being met.
The strategic pitch is a broader connectivity stack. Marvell brings electrical and optical interconnect, switching, custom silicon and advanced semiconductor technologies. Lumentum adds high-performance lasers, optical transceivers, optical circuit switching and compound-semiconductor manufacturing. Marvell says combining those capabilities should allow tighter co-design across the signal chain, from distributed data centres to advanced semiconductor packages.
The financial numbers need careful handling. Marvell projects a $550 billion total addressable market, more than $1 billion in annual run-rate cost synergies and non-GAAP earnings-per-share accretion in the first year after closing. Those are company expectations, not outcomes established by the announcement.
The interesting part is the attempt to join the electrical and optical sides of AI connectivity under one roof. That could make sense as data-centre architectures become harder to optimise, but the promised benefits depend on execution, approval and customers adopting the combined portfolio. For UK and European readers, the regulatory stage will matter as much as the headline price.
