Anthropic commits 5% of its shares to a public benefit fund
Anthropic says the new fund will support public-good projects, with its stake able to grow as the company’s valuation rises.
Anthropic says it is committing 5% of its shares to a new Anthropic Public Benefit Fund, subject to stockholder approval. The company says the fund will support projects for societal good and operate as a wholly owned entity within Anthropic.1
The announcement says the fund could receive an additional 2% of Anthropic’s shares for every 50% increase in the company’s value above a set baseline, at the board’s discretion.1 Anthropic says it may support large donations to nonprofits or direct distributions to specific populations.
The fund will be established as a wholly owned LLC rather than a 501(c)(3). Anthropic says that structure gives it flexibility over different forms of giving, while equity held by the LLC will not be used for lobbying or political giving in the US or abroad.1
The company points to labour-market disruption as one area where it may need to act more boldly, following its existing $200 million commitment to research into AI’s economic future.12 Anthropic says more information about governance and valuation milestones will arrive in the coming months.
Our opinion
The headline percentage is not the same as money already distributed. The practical test will be the fund’s governance, the projects it selects and how transparently Anthropic reports results. For now, the clearest fact is the unusual structure: a growing equity commitment with the operational flexibility of an internal LLC.
